Terms of Service

Fixed Seed LLC (“Fixed Seed,” “we,” “us”) operates fixedseed.com, the developer console, the Fixed Seed API, and the Fixed Seed apps that link to these Terms, including Rare Spawn at rarespawn.ai (together, the “Service”). By creating an account, signing in to any of them, using an API key, or purchasing credits, you agree to these Terms. You must be at least 18 and authorized to bind the entity you represent. A product may add terms of its own; where they conflict with these, the product terms govern that product.
1. Accounts and API keys
You are responsible for your credentials and all activity and credit usage under your accounts. API keys are shown once and stored only as one-way hashes; revoke compromised keys immediately. We may suspend or terminate access under Section 9.
2. Credits and billing
- Credits and the API balance are prepaid. Each product shows its prices before you start.
- Plans. A monthly plan adds its credits at the start of each paid billing cycle. Unused plan credits do not carry over: they reset to the plan’s amount each cycle, and are spent before top-up credits. Plan credits are not refundable as cash. If you cancel, the plan and its credits last until the end of the paid period. Plans include Project Canvas; without a plan, saved boards are kept but can't be edited.
- Top-up credits do not expire.
- API balance. Fixed Seed API jobs debit the published rate after completion from your API balance, held in US dollars; failed API jobs are not charged and temporary holds are released. Each API top-up expires one year after purchase, and the oldest top-up is spent first.
- Credits and the API balance are separate. Credits cannot pay for API jobs, the API balance cannot pay for credit-priced products, and neither can be transferred or exchanged for the other.
- Promotional and bonus credits have no cash value and cannot be transferred.
- Purchases are non-refundable except where the law requires or a Service error caused the charge. Refund requests: support@fixedseed.com.
- Stripe processes payments and taxes. Rates may change prospectively, never retroactively.
3. Your content
You retain rights in your inputs and, as between you and Fixed Seed, your outputs. You grant the limited license needed to host, process and transmit them to provide the Service. We do not train models on your content. You are responsible for having the rights to your inputs and for lawful use of outputs.
Public galleries. Some products let you submit work to a public gallery, such as the Rare Spawn front page. Submission is optional and reviewed by us. If we feature your work, you grant Fixed Seed a non-exclusive, worldwide, royalty-free license to display, reproduce (including previews, turntable animations and thumbnails) and promote it in connection with the Service, credited to the name you chose. You can ask us to remove it at any time, and we may remove it at our discretion.
4. Acceptable use
You may not use the Service for illegal content; CSAM; infringement; non-consensual voice or likeness cloning; deception, fraud, harassment, spam, malware; service interference; rate-limit evasion; or ban evasion. Synthetic-media disclosure remains your responsibility where required.
5. Providers and services
Some features are fulfilled by infrastructure and model providers acting for Fixed Seed, and clearly identified third-party models may have their own availability and policies. Fixed Seed may change suppliers without changing your contract with us. Current model processing is described under Model providers.
6. Data retention
Signed media URLs expire, but URL expiry is not itself a deletion guarantee. Job records, usage, webhook metadata, and the append-only credit ledger may be retained for security, accounting, and legal obligations.
7. Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS, TITLE, NON-INFRINGEMENT, PARTICULAR OUTPUT, OR UPTIME. GENERATIVE OUTPUTS MAY BE INACCURATE OR UNSUITABLE.
8. Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXED SEED IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TOTAL LIABILITY IS CAPPED AT THE GREATER OF $50 OR AMOUNTS PAID IN THE SIX MONTHS BEFORE THE EVENT.
9. Suspension and termination
You may stop using the Service. We may suspend or terminate for violations, legal risk, non-payment, or inactivity, with notice where practicable. Provisions that by nature should survive will survive.
10–12. Indemnity, disputes, general
You will indemnify Fixed Seed for claims arising from your content, use, or violations. [ATTORNEY REVIEW: arbitration, opt-out, class waiver, governing law, venue.] Material changes will be announced. Contact: support@fixedseed.com.
